Terms and Conditions

These General Terms and Conditions (hereinafter "T&Cs") govern the use of the site https://masynergy.eu (the "Site") and the artificial intelligence decision-support services for mergers and acquisitions (the "Services") provided by Goodbyte Limited (Irish company number 637019, located at 77 Camden Street Lower, Dublin, Ireland), operating as "M&A Synergy AI" (the "Company").

 

Article 1. Definitions

 

  • Company: Goodbyte Limited.

  • User / Client: Any natural person or legal entity using the Site or subscribing to the Services.

  • Services: All software tools, AI algorithms, and analyses provided by the Company via the Site.

 

Article 2. Acceptance

 

Access to the Site and use of the Services imply the User's full and unreserved acceptance of these T&Cs.

 

Article 3. Object of the Services

 

The Company provides a SaaS (Software as a Service) platform based on AI, intended to assist professionals in analyzing and simulating synergies in the context of mergers and acquisitions.

IMPORTANT DISCLAIMER: The Services of M&A Synergy AI are decision-support tools. They do not, under any circumstances, constitute financial, legal, or investment advice. The results provided by the AI are generated based on data provided by the User and on algorithmic models. The Company does not guarantee the accuracy, completeness, or relevance of the results. The User remains solely responsible for decisions made based on the analyses provided.

 

Article 4. Access and Account

 

Access to certain Services may require creating an account. The User is responsible for the confidentiality of their login credentials.

 

Article 5. Financial Conditions (Price and Payment)

 

The Services are provided [Option 1: on a subscription basis] / [Option 2: on a pay-as-you-go basis]. Prices are indicated excluding VAT (Value Added Tax) on the Site. Payment is made [Payment method, e.g., by credit card via Stripe].

 

Article 6. User Obligations

 

The User agrees to:

  • Provide accurate information during registration.

  • Use the Services in accordance with their intended purpose and applicable laws.

  • Own or hold the necessary rights to the data they submit to the platform.

  • Not use the Services for illegal purposes.

 

Article 7. Intellectual Property

 

  • Of the Company: The Company remains the exclusive owner of all intellectual property rights to the Site, software, algorithms, and the "M&A Synergy AI" brand. No rights are transferred.

  • Of the User: The User remains the owner of the raw data they submit ("Input Data"). The User grants the Company a non-exclusive, worldwide license to use the Input Data solely for the purpose of providing the Services.

  • Of the Results: The User owns the analyses and results ("Results") generated specifically for them by the Services.

 

Article 8. Liability

 

The Company is bound by an obligation of means in the provision of the Services. The Company's liability cannot be engaged in the following cases:

  • Service interruption for maintenance.

  • Misuse of the Services by the User.

  • Force majeure.

  • Strategic or financial decisions made by the User based on the Results provided by the AI (see Article 3).

In any event, the financial liability of Goodbyte Limited under these T&Cs shall be limited to the total amount paid by the Client during the [e.g., six (6)] months preceding the event that gave rise to the damage.

 

Article 9. Confidentiality

 

The Company undertakes to treat all Input Data submitted by the User as strictly confidential.

 

Article 10. Applicable Law and Jurisdiction

 

These T&Cs are subject to Irish law. Any dispute relating to their interpretation or execution shall fall under the exclusive jurisdiction of the courts of Dublin, Ireland.
